TERMS
OF SALE |
Net 30 days. Prices subject to change without notice.
All orders for new accounts, including former customers
who have not been active for six months or more, must be
approved by the Fort Worth office before shipment. Williamson-Dickie
reserves the right to refuse any such order. All purchase
orders placed with Williamson-Dickie Mfg. Co. are non-cancelable.
Title to products passes from Dickies to Customer on shipment
from Dickies facility. Loss or damage that occurs
during shipping by a carrier selected by Dickies is Dickies
responsibility. Loss or damage that occurs during
shipping by a carrier selected by Customer is Customer's
responsibility. |

ORDER
POLICY |
| Minimum opening order is $2,500.00 with a
minimum reorder amount of $250.00. Minimum annual purchase required is
$10,000.00. There is a $10 charge for orders under $250.00. No orders accepted
for less than 6 pair. All products of the company can be included on any
order. Each order must be for one shipping date. This policy may not apply
outside the continental U.S. |

GUARANTEE |
| Williamson-Dickie Mfg. Company guarantees that reasonable
and representative tests made under the procedure provided
in Section 4 of the Federal Flammable Fabrics Act show that
the fabrics contained in our garments are not, under the
provisions of Section 4 of the Act, so highly flammable
as to be dangerous when worn by individuals. |

SHIPPING
POLICY |
Outbound Prepaid and Prepay and Add shipments are F.O.B.
Destination using Williamson-Dickie Mfg. Co. selected carriers.
Williamson-Dickie Mfg. Co. will be responsible for damage
claims processing on Prepaid and Prepay and Add shipments.
Freight Collect shipments are F.O.B. Origin and will route
with Customer selected carriers. Customers will be responsible
for damage claims processing on Freight Collect shipments.
Inbound shipments to Williamson-Dickie Mfg. Co. made Freight
Collect are F.O.B. Origin utilizing Williamson-Dickie Mfg.
Co. selected carriers. Williamson-Dickie Mfg. Co.
will be responsible for damage claims processing on inbound
shipments.
Prepaid shipments are F.O.B. Destination utilizing Customer
selected carriers. The Customer will be responsible for
damage claims processing on Prepaid shipments. |

RETURNS |
| Only authorized first quality returns will be accepted.
A return request should be made with our Customer Service
Department or with your local sales representative for first
class salable goods. Such requests must be made within
15 days of receipt of goods, and must be used within 15
days of date of authorization. Return requests should
include the reason, quantity by style, and number and date
of the invoice relating to the merchandise. Williamson-Dickie
will accept no returns without a Return Authorization number
attached to the outside of each carton. No handling
or service charges will be allowed. Only products
manufactured by Williamson-Dickie Mfg. Co. will be accepted.
All Dickies licensed products must be returned to the appropriate
licensee. Non-defective goods will be accepted only
in first class salable condition with transportation charges
prepaid F.O.B. Destination and a restocking fee will be
charged. In the event that Williamson-Dickie is liable
for the transportation charges, such as shipping to the
incorrect address, the customer must obtain approved routing
from Williamson-Dickie Mfg. Co. Failure to do so will
result in appropriate deductions from the resulting credit
memo. Defective garments are not to be returned but
will be inspected on premises by your local sales representative.
Instructions may be obtained from our Customer Service Department
for the handling and disposition of these garments.
Your full compliance with this policy will help us to provide
prompt and efficient service. |

NOTICE
TO ALL RETAILERS OF WILLIAMSON-DICKIE |
Williamson-Dickie Mfg. Company has entered into exclusive
distribution agreements for numerous overseas markets.
These designated distributors are the only authorized dealers
of DICKIES brand goods in those markets. In order
to support our agreements with these distributors and protect
our investment in the growth of the brand, we have adopted
a policy of selling DICKIES brand goods domestically only
to those companies who purchase such goods for resale to
consumers within the U.S. borders. Accordingly, any
company which purchases DICKIES brand goods for export,
or for sale to parties intending to export same, is engaging
in conduct which violates this established policy.
Exporting DICKIES brand goods sold to you in the United
States, or the sale of DICKIES brand goods to third parties
you know, or have reason to believe, intend to export such
goods, will result in the Company's termination of its relationship
with you and its refusal to supply you with any further
DICKIES brand goods.
We value our customer's contribution to the growth of the
DICKIES brand. We are committed to preserving a "win-win"
relationship with all domestic accounts which abide by this
policy. However, we are equally determined to honor
our contractual obligations to our international distributors
and we will take vigorous action to defend these markets
from "gray market" exports. Sales to any account knowingly
involved in or connected with the unauthorized export of
DICKIES brand goods will be discontinued |

SELLING
DICKIES ON-LINE |
Any existing Dickies customer that is selling, or is planning
to sell Dickies on-line through their own website must comply
with the following guidelines:
1. The term "dickies" cannot be used in the website
address
2. The website does not include, or link to, any adult
material
3. Dickies garments are presented in a manner consistent
with the brand and image
4. No international shipping permitted
5. A 1-800 phone number or e-mail address for Customer
Service must be provided
6. The website must be owned and controlled by the
Dickies customer, not an arm's- length third party
Williamson-Dickie Mfg. Co. reserves the right to modify
these guidelines, or add additional guidelines at any time. |
